These Terms & Conditions ("Terms") govern your access to and use of the Centralize platform, website, and services (collectively, the "Service") operated by Centralize Ltd, a company registered in England and Wales (Company No. 16699443), with a registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ ("Centralize", "we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.


1. The Service

Centralize is a digital marketing education platform providing structured learning modules, AI-powered tools, downloadable resources, and supporting materials to help businesses and professionals build practical digital marketing capability.

Access to the Service is provided on a subscription basis. The features available to you will depend on the membership tier you have purchased.

2. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement and that all information you provide to us is accurate and complete.

3. Account Registration

To access the Service, you must create an account. You are responsible for:

  • Keeping your login credentials confidential.
  • All activity that occurs under your account.
  • Notifying us immediately at [email protected] if you suspect any unauthorised use of your account.

We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used in breach of these Terms.

4. Subscriptions and Billing

Centralize offers monthly subscription plans. By subscribing, you authorise us to charge your chosen payment method on a recurring monthly basis at the price stated at the time of purchase.

  • Free trial: Where a free trial is offered, it will begin on the date you subscribe. At the end of the trial period, your subscription will automatically convert to a paid plan unless you cancel before the trial ends.
  • Billing cycle: Subscriptions are billed monthly in advance. Your billing date is set on the date you first subscribe.
  • Price changes: We may change subscription prices at any time. We will give you at least 30 days' notice of any price increase before it takes effect.
  • Failed payments: If a payment fails, we may suspend access to the Service until payment is successfully collected.

All prices are displayed in British Pounds (GBP) and include VAT where applicable.

5. Cancellation and Refunds

You may cancel your subscription at any time from your account settings or by contacting us at [email protected]. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until that date.

Refunds: We do not offer refunds for partial months or unused periods of a subscription. If you cancel during a free trial, you will not be charged. If you believe you have been charged in error, please contact us within 14 days of the charge and we will investigate.

Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, you have a 14-day right to cancel a new subscription from the date of purchase. However, if you have accessed digital content during this period, you acknowledge that your right to cancel may be affected. Please contact us if you wish to exercise this right.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

  • Share your account credentials with any third party.
  • Reproduce, distribute, or resell any content from the Service without our prior written consent.
  • Use the Service to train, develop, or improve any AI model or competing product.
  • Attempt to gain unauthorised access to any part of the Service or its underlying systems.
  • Upload or transmit any material that is unlawful, harmful, defamatory, or infringing of third-party rights.
  • Use automated tools (bots, scrapers, crawlers) to access or extract content from the Service.

7. Intellectual Property

All content on the Centralize platform — including but not limited to lessons, modules, AI prompts, templates, downloadable resources, graphics, and branding — is owned by or licensed to Centralize Ltd and is protected by copyright and other intellectual property laws.

Your subscription grants you a personal, non-transferable, non-exclusive licence to access and use the content for your own business or professional purposes. This licence does not permit you to copy, share, publish, or commercially exploit the content in any form.

8. Third-Party Tools and AI Features

The Service includes AI-powered features that generate content, prompts, and marketing copy. These outputs are provided for informational and educational purposes only. You are solely responsible for reviewing, editing, and approving any AI-generated content before use in your business.

Centralize does not guarantee the accuracy, completeness, or fitness for purpose of any AI-generated output, and accepts no liability for any decisions made on the basis of such output.

The Service may include links to or integrations with third-party platforms (e.g., Meta, Google, TikTok). We are not responsible for the content, availability, or practices of any third-party services.

9. Certification Badges

Certification badges displayed on the Centralize platform are shown for informational purposes only and do not imply affiliation, endorsement, or sponsorship by the issuing organisations. All trademarks belong to their respective owners. Centralize is an independent education platform.

10. Disclaimers

The Service and all content within it are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Centralize makes no warranties, express or implied, regarding the Service, including but not limited to:

  • That the Service will be uninterrupted, error-free, or secure.
  • That the educational content will result in any specific business outcome, revenue, return on investment (ROI), or other financial result.
  • That any information, template, framework, formula, or downloadable resource on the platform is current, accurate, complete, or free from errors.
  • That any strategy, prompt, or technique taught through the Service will perform as expected in your specific business context.

Educational purpose only. The content provided through Centralize is intended solely for educational and informational purposes. Nothing on the platform constitutes financial, legal, or professional advice. Results will vary depending on individual circumstances, business type, market conditions, and the effort applied. Centralize makes no guarantees of any specific outcome, including but not limited to increased sales, leads, website traffic, or return on advertising spend.

Downloadable resources and templates. Templates, trackers, frameworks, and other downloadable resources are provided as educational aids only. While we take reasonable care in their preparation, Centralize does not warrant that they are free from errors, omissions, or inaccuracies. You are solely responsible for reviewing, verifying, and adapting any such resource before use in your business. Centralize accepts no liability for any loss or damage arising from reliance on, or errors contained within, any downloadable resource provided through the Service.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Centralize Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, including but not limited to:

  • Loss of profits, revenue, or anticipated savings.
  • Loss of business, contracts, or opportunities.
  • Loss of data or business interruption.
  • Any failure to achieve a desired return on investment (ROI) or business outcome after completing any part of the Service.
  • Any loss or damage arising from errors, inaccuracies, or omissions in any template, formula, tracker, or downloadable resource provided through the Service.
  • Any loss or damage resulting from the application of strategies, techniques, or AI-generated content learned through the Service.
  • Any loss arising from your reliance on third-party platforms (including but not limited to Meta, Google, TikTok, and LinkedIn) whose policies, algorithms, or performance may change independently of Centralize.

Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the total amount paid by you to Centralize in the 12 months preceding the claim.

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.

12. Modifications to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. Where we make material changes, we will provide reasonable notice. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.

13. Termination

We may suspend or terminate your access to the Service immediately, without notice, if we reasonably believe you have breached these Terms or engaged in conduct that is harmful to other users, third parties, or Centralize.

Upon termination, your right to access the Service will cease immediately. Provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will remain in effect.

14. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of any material changes by email or by displaying a prominent notice on the platform. The date at the top of this page reflects when the Terms were last updated. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
